Terms and Conditions

 

The below Terms and Conditions constitute the entire agreement between the parties and supersede any previous agreements, warranties, representations, undertakings or understandings between them, and may only be varied in writing.

 

1. Definitions

BPR (Bracknell Printroom Limited) refers to the party providing the goods or services under these Terms and Conditions.

You, Your refers to the party contracting with BPR to acquire a printed Document supplied under these Terms and Conditions.

The Document is the matter (plus any number of additional copies) selected by You to be printed by BPR.

Intermediates are all the products produced during the manufacturing process, including (but not limited to): film, plate, discs, intellectual property.

The Electronic File is the electronic form of the Document You have selected for printing.

Insolvency means BPR is in a position where it is unable to pay its debts or has a winding-up petition issued against it, or has a receiver, administrator or administrative receiver appointed to it, or has a bankruptcy petition issued against it.

2. Payment

All payments must be made online and in advance.

 

3. Delivery

You choose Your Document’s delivery method when placing your order. Please note, delivery times quoted to You by BPR are a guide only and, while BPR will make every effort to adhere to proposed timescales, time is not of the essence in any contract with you.

As soon as the Document has been either despatched by ordinary post or collected by the courier, it is deemed as delivered. If you have chosen courier as the delivery method You can track Your Document by contacting hello@printroom.co.uk and quoting your order number.

 

4. Electronic Files

It is Your responsibility to check the accuracy of Your submitted Electronic File. BPR shall not be responsible for any errors in the Electronic File.

Without prejudice to clause 4, BPR may make a charge for any additional cost incurred as a result of necessary adjustment or corrective action where Your Electronic File is unsuitable for outputting on equipment normally adequate for such purposes. BPR may also reject the file without prejudice to BPR rights to payment for the Document that is done/material purchased.

Without prejudice to clause 4, Bracknell Printroom Limited will use reasonable endeavors to secure the best results, where materials are so supplied or specified, and BPR so advises You, and You instruct Bracknell Printroom Limited in writing or by email to proceed anyway, but shall incur no liability for the quality of the end product(s).

 

5. Finished Goods

The risk in the Document shall pass to You on despatch and You should insure accordingly.

 

6. Retention of Title

The Document shall remain the property of its copyright holder at all times. Please note, it is Your responsibility to ensure you hold the copyright or have permission from the copyright holder, for the reproduction of any images, text, designs and any other intellectual property contained in all Electronic Files uploaded to BPR for printing and/or binding.

 

7. Claims

Notification of damage, delay or loss of goods in transit must be given in writing to BPR and the carrier within 3 clear days of delivery. Notification of non-delivery must be given in writing within 3 days of notification of despatch of the goods. Any claim in respect thereof must be made in writing to BPR and the carrier within 7 clear days of delivery (or, in the case of non-delivery, within 7 days of notification of despatch). All other claims must be made in writing to BPR within 14 days of delivery. Unless the aforementioned requirements have been complied with, BPR shall not be liable in respect of any claim except in any particular case where You prove that it was either not possible to comply with the requirements and the claim was made as soon as reasonably possible. If the Document is defective You must reject it within 7 days of delivery, after this time you will be deemed to have accepted the Document. BPR reserves the right to inspect the Document within 7 days of the claim or rejection in all cases. If you have ordered using our Free UK Royal Mail delivery option and want to return an order because it has arrived too late or has gone missing, BPR will only refund or reprint if the order has not arrived within 7 days after despatch, as Royal Mail does not guarantee delivery dates of 1st class mail.

 

8. Liability

Insofar as is permitted by law, should the Document be defective for any reason, including negligence, BPR liability (if any) shall be limited to rectifying the said defect or crediting its value against any invoice raised.

Where BPR has performed its obligations to rectify a defective Document, it shall not be liable for any indirect or consequential loss or third party claims caused by a defective Document and You shall not be entitled to any further claim in respect of the Document or be entitled to repudiate the contract.

Where a Document is defective it must be returned to BPR at Your expense before any replacement or credits can be issued. BPR will hold that you have accepted the Document if it is not available to Bracknell Printroom Limited and no credits or replacement Document will be provided.

Whether as a result of BPR negligence or otherwise, Bracknell Printroom Limited shall not be liable for indirect or consequential loss or third party claims caused by delay in transit or completing the Document.

Unless you can show a clear cause for refusing to do so, you must accept any offer from Bracknell Printroom Limited to replace a defective Document. You will automatically revoke Your right to any remedy from Bracknell Printroom Limited, including but not limited to the right to a credit in respect of the Document if you opt to have the Document redone by any third party without reference to Bracknell Printroom Limited

Bracknell Printroom Limited reserves the right to reject any Electronic File forwarded to them even after payment has been made. A refund will be issued by Bracknell Printroom Limited in the event of an Electronic File being rejected.

 

9. Illegal Matter

Where a matter is considered libelous, illegal or of an offensive nature, or an infringement of the proprietary or other rights of any third party, Bracknell Printroom Limited shall not be required to print the offending matter.

Bracknell Printroom Limited shall be indemnified by you in respect of any claims, costs and expenses arising from the printing by Bracknell Printroom Limited for You of any illegal or unlawful matter including matter which is libelous, offensive or infringes copyright, patent, design or any other proprietary or personal rights. The indemnity shall include (without limitation) any amounts paid on a lawyer’s advice in settlement of any claim that any matter is libelous or such an infringement.

 

10. Cancellations and Refunds

If you wish to cancel, you must do so before we begin to process Your order. Please note, most orders are processed shortly after receipt so in order to cancel, you must call 0845 072 2778 or email hello@printroom.co.uk (any messages sent to other email addresses are unlikely to be seen in time) on the day of placing the order, quoting your order number. Cancellation can only be accepted if we have not already begun to process Your order. The right, under the Distance Selling Regulations, to a “cooling-off” period does not apply, as our service is one which is provided within a period of fewer than 7 working days.

Refunds can be requested up to 14 days after the order is despatched. Bracknell Printroom Limited offers a delivery guarantee (applying to all orders except those where the selected delivery method is “UK Royal Mail 1st Class”), entitling the customer to receive a full refund of the shipping charges if the order is not delivered on the specified date. To claim a refund the customer must email hello@printroom.co.uk with the order number.

 

11. Force Majeure

BPR accepts no liability for being unable to carry out any provision of the contract for any reason beyond their reasonable control, including (but not limited to): fire; flood; drought; war; act of God; legislation; power failure; lock-out; inadequacy or unsuitability of instructions, Electronic File, data, or other materials supplied by You; strike or other action taken by employees in contemplation or furtherance of a dispute; or owing to any inability to procure materials required for the performance of the contract. During the continuance of such a contingency, you may, by written notice to Bracknell Printroom Limited, elect to terminate the contract, but subject thereto shall otherwise accept delivery when available.

 

12. Data Protection

13. Law

These conditions, along with all other express and implied terms of the contract, shall be governed and construed in accordance with the laws of England and the parties agree to submit to the jurisdiction of the courts of England and Wales.

 

14. Notices

Any specifications and notices relied on by either party and/or variations to this agreement must be submitted in writing and include a valid, authorised signature.

 

15. Consumers

The rights of consumers are unaffected by these Terms.

 

16. Severability

All clauses and sub-clauses of this Agreement are severable and if any clause or identifiable part thereof is held to be unenforceable by any court of competent jurisdiction then such enforceability shall not affect the enforceability of the remaining provisions or identifiable parts thereof in these Terms and Conditions.
